## UPI Gets a Price — 0.4% MDR on Merchant Payments Above ₹2,000 From October 15

This is the largest structural change to Indian digital payments since the zero-MDR regime began in January 2020, and it repriced the sector in a single session.

**Paytm hit a fresh 52-week high of ₹1,855.50, up 7.25% intraday**, before paring gains to close up about 3% on volume of more than 7 million shares.

**The mechanism, in sequence:**

1. **The Government amended the Payment and Settlement Systems (PSS) Act, 2007**, empowering it to notify specific electronic payment modes on which no charges shall apply — the legal foundation for guaranteeing free small-value UPI.
2. **On September 14, 2026, the Central Government issued the notification** specifying that **UPI transactions up to ₹2,000 attract zero Merchant Discount Rate**.
3. **On September 15, NPCI issued the detailed circular** after the UPI steering committee deliberated on operational parameters, fee distribution models and category caps.

**The commercial terms:**

- **Baseline MDR of 0.4% on person-to-merchant (P2M) UPI transactions above ₹2,000**, effective **October 15, 2026**
- **Person-to-person (P2P) transactions remain completely free at any value.** P2P is 37% of UPI volume and 70% of UPI value
- **Cap of ₹300 per transaction** for payments of ₹75,000 and above
- **Flat ₹5** applies to eligible transactions above ₹2,000 in **railways, telecommunications, insurance and fuel** — the thin-margin sectors get their own pricing structure
- **MDR is borne by the merchant and cannot be passed on to the customer.** Consumers pay the listed price
- **NPCI has proposed a dedicated fund for small merchants** to support digital-payment infrastructure in Tier 3-6 centres, the North-East, Jammu & Kashmir and Ladakh, with the detailed framework to be finalised in consultation with the RBI within three months

**The size of the pool** is the reason the sector moved. Bernstein's estimate: **banks receive about ₹14,000 crore, payment apps about ₹7,000 crore and the network about ₹1,000 crore**, with industry projections of a **₹22,000 crore revenue pool by FY28**. Underlying scale: **UPI processed 2,451 crore transactions worth ₹29.9 lakh crore in August 2026 alone**, and 95% of transactions sit below the ₹2,000 threshold — which is why volumes are not expected to suffer.

| Stock | Impact | Reason | Confidence |
|-------|--------|--------|-----------|
| PAYTM (One 97 Communications) | 🟢 Positive | The company formally disclosed the MDR framework and flagged additional merchant-business revenue from transactions that were previously free; merchant payment revenue was the missing leg of its P&L — the stock hit a 52-week high on the news | High |
| SBIN / HDFCBANK / ICICIBANK / AXISBANK / BANKBARODA / PNB / CANBK | 🟢 Positive | As acquiring banks they capture the largest single share of the pool — roughly ₹14,000 crore of the estimated ₹22,000 crore; PSU banks were among the day's leaders with SBI +2.42% | Medium-High |
| HFCL / payment-infrastructure vendors | 🟡 Watch | ⚠️ Inferred. The circular explicitly directs part of the MDR pool into infrastructure resilience, cybersecurity and customer service | Low-Medium |
| Large-format retail merchants (unlisted) | 🔴 Negative | ⚠️ Inferred. Merchants absorb the 0.4% cost, but no listed Indian retailer with disclosure granular enough to quantify it has come forward; treated as a sector-level drag, not a stock call | Low |

## SEBI Gives Arbitrage Funds a 1% Unhedged Leeway to Rescue the Closing Auction

**SEBI has allowed arbitrage mutual funds roughly 1% unhedged leeway** in managing their positions, according to Bloomberg and The Hindu BusinessLine. The stated purpose is to draw back a key source of liquidity into the **closing auction session (CAS)**, which has struggled since going live on August 3, 2026.

This is regulator-led plumbing repair, and it arrives alongside a wider CAS consultation. On **September 12** SEBI proposed changes to expiry-day settlement methodology, market timings and order handling, inviting public comments on **seven proposals by October 3, 2026**, for consideration at the **board meeting on September 24**:

- **Two options for expiry-day settlement:** a blended VWAP combining the last 30 minutes of continuous trading with 10 minutes of CAS, versus retaining the existing continuous-trading VWAP and keeping CAS out of derivative settlement for now
- **Market timing changes** for continuous trading, CAS and derivatives trading
- **Restriction on cancelling orders beyond ±1% of the reference price**, preserving the ±3% band while reducing withdrawal of interest at prices far from the reference
- **Dissemination of an IEP-derived indicative index value** during CAS
- **Transition of unexecuted iceberg quantities** from continuous trading into CAS

Chairman Tuhin Kanta Pandey said on September 10 that CAS "is here to stay" and that the regulator is only examining whether F&O settlement prices could be based differently.

| Stock | Impact | Reason | Confidence |
|-------|--------|--------|-----------|
| BSE / MCX | 🟢 Positive | Deeper closing-auction liquidity and higher execution confidence directly support cash and derivatives volumes on which exchange revenue is levied | Medium-High |
| ANGELONE / MOTILALOFS / IIFL | 🟢 Positive | Brokerage revenue is volume-linked; a functioning close also improves institutional benchmark execution and block-trade confidence | Medium |
| HDFCAMC / NAM-INDIA / UTIAMC / ABSLAMC | 🟢 Positive | ⚠️ Inferred. Arbitrage and other schemes regain a hedging tool that had become operationally difficult, protecting flows and NAV tracking in the category | Medium |

## BIS Raises the Gold Hallmarking Fee 67% — Jewellery Stocks Fall Up to 5%

**The Bureau of Indian Standards raised the hallmarking fee on gold articles to ₹75 from ₹45 — a 67% increase — notified through the BIS (Hallmarking) Amendment Regulations, 2026, dated September 14, 2026, with immediate effect.** Silver is unchanged at ₹35 per article. Minimum charges are **₹200 per consignment for gold and ₹150 for silver**; jewellers pay the fee to recognised Assaying and Hallmarking Centres.

The timing is the problem: it lands weeks before the festive and wedding season, and it follows more than 30 BIS enforcement actions against defaulting jewellers during 2025-26.

**Market reaction:** **Kalyan Jewellers and PC Jeweller fell roughly 4-5%**, and newly listed **Lalithaa Jewellery Mart hit a 5% lower circuit.**

The **All India Gem & Jewellery Domestic Council (GJC)** has asked the Centre and BIS to hold the notification in abeyance and roll the fee back to ₹45 pending stakeholder consultation, arguing that hallmarking volumes have expanded enormously and the per-article charge should not rise in a single stroke without a transparent cost audit.

| Stock | Impact | Reason | Confidence |
|-------|--------|--------|-----------|
| KALYANKJIL / PCJEWELLER | 🔴 Negative | Direct incremental compliance cost per article, unabsorbable ahead of the festive season without margin dilution or a consumer price increase; both fell 4-5% | High |
| SENCO / THANGAMAYL / RAJESHEXPO | 🔴 Negative | ⚠️ Inferred. Sector-wide regulatory cost with the same festive-season timing; the read-across is uniform across organised jewellers | Medium-High |
| TITAN | 🟡 Watch | ⚠️ Inferred. Titan's scale and formalisation leadership make it the most able to absorb ₹30 an article, but it carries the same category-level cost increase | Medium |

## NSE's Anchor Book Opens — "Much More Than We Thought It Would Be"

**Anchor-investor bidding for the NSE IPO took place today, September 16.** Public subscription runs **September 17-21**, allotment **September 22**, listing on **BSE around September 24**.

- **Issue size: up to about ₹22,569 crore** — a **100% offer for sale of 12.64 crore shares** with no fresh capital raised
- **Price band ₹1,700-1,785 per share**, lot size 8 shares, minimum retail outlay **₹14,280**
- **India's second-largest IPO ever**, behind Hyundai Motor India's ₹27,870 crore
- Managing Director and CEO **Ashishkumar Chauhan**: *"Anchor book is pretty large, much more than we thought it would be."* Anchor demand is now expected around **₹6,250 crore**, below the earlier ₹9,000 crore estimate
- Reported institutional interest: **Goldman Sachs Asset Management, Franklin Templeton, Fidelity International, Norges Bank Investment Management, Abu Dhabi Investment Authority and GIC**
- **Sellers:** SBI (largest), CPPIB, Aranda Investments, MS Strategic, New India Assurance and Bank of Baroda

**The valuation debate is the live issue.** The issue implies **35-38 times FY2028 earnings** against **23-31 times** for Nasdaq, CME Group, Deutsche Börse, HKEX and LSEG. NSE earns about **80% of revenue from trading, 60% of that from options**, and **options volumes have dropped 27% from their 2024 peak** as regulatory tightening bit. Reuters quotes portfolio managers describing the pricing as factoring in the options-trading slowdown and the CAS teething problems.

| Stock | Impact | Reason | Confidence |
|-------|--------|--------|-----------|
| BSE | 🟡 Watch | Two-way. A listed rival exchange invites direct valuation comparison and competitive scrutiny, but the event cements the depth of India's primary market. BSE fell 1.8% today | Medium |
| ANGELONE / MOTILALOFS / IIFL | 🟢 Positive | ⚠️ Inferred. Anchor day, subscription week and the largest-ever Indian listing pipeline generate distribution, financing and advisory revenue | Medium |
| KFINTECH / CAMS / CDSL | 🟢 Positive | ⚠️ Inferred. Registrar and depository throughput scales with the issue, though CDSL fell 1.7% today on broad profit-taking | Medium |

## Also in the Regulator File

- **India's crypto framework returned to Parliament.** The **Lok Sabha Standing Committee on Finance took oral evidence from the Department of Economic Affairs** on September 16 as part of its study, *"A Study on Virtual Digital Assets (VDAs) and Way Forward."* Committee Chairman **Bhartruhari Mahtab** indicated the government does not want to regulate VDAs at this stage while warning that leaving the space unregulated could open the door to "different types of indulgences." The unresolved issues are legal classification, investor protection, stablecoin oversight and the **roughly 91.5% of Indian crypto trading volume that has moved to offshore platforms**. This was evidence-gathering, not law-making — no new rule emerged.
- **GIFT City's diaspora lending channel is consolidating.** **HSBC Holdings and ICICI Bank in GIFT City** have emerged as the largest lenders to India's diaspora through a dedicated foreign-exchange swap programme, pointing to the hub's rising role in channelling overseas capital into India.
- **New Zealand's Parliament passed the India FTA implementing bill 93-29**, clearing the way for the pact to take effect **October 19** — covered in the Modi release today.
